Terms of Sale
These terms apply to quotations and sales of parts by Silverstone Industrial (“SIND”, “we”) through sind-parts.ltd. They are business-to-business terms. By requesting a quotation or placing an order, you accept them.
1. Scope and business customers
These terms apply to business customers. If you buy as a consumer, mandatory consumer rights are not affected. A quotation or order confirmation may add special terms; if there is a conflict, the quotation or confirmation prevails for that order.
2. Quotations
A quotation is valid for 30 days unless it states otherwise. It is not an offer and remains subject to stock, supplier confirmation and our written order confirmation. Prices, availability and specifications may be corrected before acceptance.
3. Orders and acceptance
An order is accepted when we issue an order confirmation or proforma invoice. You are responsible for the accuracy of part numbers, brands, quantities, ship-to details, Incoterms and purchase-order references you give us. We may decline an order where we cannot verify the part, where an export or sanctions restriction applies, or where the information is incomplete.
4. Compatible parts, trademarks and fitment
Unless a line is expressly marked as genuine, we supply compatible replacement parts. Original-equipment names, trademarks and part numbers are used only to identify the equipment or part being replaced. We are not affiliated with, authorised by or endorsed by those manufacturers, and we do not claim to supply OEM genuine parts unless the quotation says so.
Fitment is your responsibility. We cross-reference part numbers, brands and models as a service, but a cross-reference is a guide, not a guarantee. Before ordering, verify the part against the machine nameplate, model, serial number, drawing or the manufacturer’s parts list. We are not liable for a part ordered for the wrong machine, model, serial range or application where the information supplied by you or the cross-reference was incomplete or incorrect. If you are unsure, ask us to review it before you order.
5. Product information and images
Descriptions, images, dimensions and specifications are provided in good faith. Images may be representative and the delivered part may differ in finish, labelling or packaging. Where a specification is critical, confirm it in writing before ordering. We may correct errors, inaccuracies or omissions at any time.
6. Prices, taxes and payment
Prices are in US dollars unless the quotation states another currency. Prices exclude duties, taxes, import charges and any bank charges unless stated. Payment terms are those stated on the quotation. Where the law allows, goods remain our property until paid in full. We may suspend delivery or cancel an order if payment is overdue.
7. Delivery, title and risk
Delivery terms follow Incoterms 2020 as stated on the quotation. Lead times are indicative and start from order confirmation and, where required, receipt of payment or approved documents. Risk passes as stated in the applicable Incoterm. Where we arrange carriage, we do so as your agent unless the quotation says otherwise.
8. Inspection and claims
Inspect the goods on receipt. Notify us within 7 days of delivery of any shortage, damage or wrong item, with photographs and the packing list. If the packaging appears intact but the product is damaged, tell us immediately. Hidden defects should be reported promptly after discovery. Late claims may be declined where the delay makes investigation impossible.
9. Cancellation and returns
Once an order has shipped it cannot be cancelled. Refused shipments are treated as returns. Returns require a return authorisation (RMA) and are subject to our Shipping & Returns policy: generally 30 days from receipt, unused, undamaged and in original packaging; custom, special-order, lubricant and some OEM-referenced items are final sale. Restocking fees may apply. See the returns page for the full process.
10. Warranty
Parts carry the limited warranty described in our Warranty page and on the quotation: 12 months from delivery, unless the quotation states otherwise. It covers defects in materials and workmanship and excludes wear, consumables, misuse, improper selection, improper installation, modification, misrepair, misapplication and contamination. Repair, replacement or credit is at our option and is the sole remedy.
11. Compliance and application responsibility
We do not guarantee that a part is suitable for your particular process, or that its installation or use complies with the laws, codes, standards or regulations of your country or industry. You are responsible for reviewing the application, obtaining any required permits or approvals, and ensuring that installation and use are compliant. This includes pressure-equipment, electrical, environmental and workplace-safety requirements.
12. Export control and sanctions
You must comply with applicable export-control, customs and sanctions laws. We may refuse, suspend or cancel an order where we reasonably believe it would breach those laws, and we may require end-use or end-user information before shipping.
13. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including transport disruption, supplier failure, natural events, labour disputes, government action or failure of utilities. The affected party will notify the other promptly and use reasonable efforts to resume performance.
14. Liability and indemnification
To the fullest extent permitted by law, our total liability for a claim is limited to the invoiced value of the goods concerned. We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, including lost profit, lost production, lost revenue or lost data. Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud or for death or personal injury caused by our negligence.
You agree to indemnify us against claims, losses and reasonable legal costs arising from your misuse of the goods, your failure to verify fitment or compliance, or your breach of these terms.
15. Governing law and disputes
These terms are governed by the laws of the People’s Republic of China. The parties will first try to resolve a dispute by written negotiation. If it is not resolved, the dispute will be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) in Shanghai for arbitration. The language of the arbitration is English. Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.
16. Miscellaneous and contact
If a provision is unenforceable, it is severed and the remainder continues. A failure to enforce a provision is not a waiver. We may assign our rights and obligations. These terms, the quotation or order confirmation, and the policies linked from this page form the entire agreement for the sale.
